The purpose of the Assembly is as follows:

To receive the audited consolidated financial statements and accompanying management’s discussion and analysis of the Company for the completed financial year December 31, 2023accompanied by the auditors’ report;

Appoint PricewaterhouseCoopers LLP as auditors of the Company to carry out its duties until the next Annual General Meeting, for remuneration to be determined by the directors of the Company;

Consider and, if deemed appropriate, approve an advisory resolution to accept the Company’s approach to executive compensation; And

Elect directors to hold office for the following year.
