(NASDAQ: PLTK) (“Playtika“), a market leader in mobile gaming technology and entertainment with a portfolio of multiple game titles, today provided an update on the number of issued and outstanding shares of Playtika common stock, par value $0.01 per share (each, one “To share“, and collectively, “Shares“) tendered to date in its previously announced tender offer for the purchase of up to 51,813,472 Shares at a price of $11.58 by Share.
Playtika has completed the tender offer on the terms and subject to the conditions described in the tender offer, dated August 29, 2022the related Letter of Transmittal and other related documents, each of which may be amended or supplemented from time to time.
From 4:00 p.m.New York time, the Thursday, September 22, 2022the tender offer custodian has notified Playtika that approximately 217,140,286 Shares have been validly tendered and have not been properly withdrawn.
The tender offer must expire one minute after 11:59 p.m.New York time, the Monday, September 26, 2022, unless the tender offer is extended or terminated. Playtika has not accepted and will not accept any Tendered Shares for payment prior to the expiration of the tender offer.
The tender offer is not conditional on the contribution of a minimum number of Shares. The tender offer is subject to certain conditions, including that it may be modified or terminated by Playtika in certain circumstances, which are described in detail in the tender offer. Specific instructions and a full explanation of the terms and conditions of the tender offer are contained in the offer to purchase, related cover letter and other related documents, which have been mailed to registered shareholders.
As previously announced, in connection with the launch of the tender offer, Playtika’s majority shareholder group, Playtika Holding UK II Limited, Alpha Frontier Limited, Shanghai Cibi Business Information Consultancy Co., Ltd., Shanghai Jukun Network Technology Co., Ltd., Giant Network Group Co., Ltd., Giant Investment Co., Ltd., Yuzhu ShiHazlet Global Limited, Equal Sino Limited and Jingshi (collectively, the “Giant/Alpha Group“) has entered into this Tender Agreement, dated August 26, 2022 (there “tender agreement“) with Playtika, which requires, among other things, that Giant/Alpha Group tender at least 211,711,155 shares to the tender offer and not withdraw such shares except as permitted by the terms of the offer agreement, including the right to withdraw such number of Shares as may be necessary (1) to bring about the contribution of the Shares which will $323 million in gross proceeds payable to Giant/Alpha Group, and (2) to maintain a 51.7% ownership interest on a fully diluted basis following the tender offer.
